Agreed, different possible scenarios complicates the agreement.
But didn't we hire someone months ago (maybe even a year) who is specialized in this?
All things you're mentioning could and should have been foreseen.
It should not be like: someone is interested in becoming a licensing partner, so let's now start thinking about possible complications.
With the signing of the NBA it already should have been clear (and was imo) what exactly could be expected for $90 milion milestones payments, 50% royalties etcetera.
Who in his right mind would close an agreement (be it non binding) having little clue what it is all about?
The legal part of it all doesn't take 11 weeks.
