Well...maybe they need money...
So, let's assume they have been selling since the PPS was at $3...and they kept selling and selling...now, after all that selling, on average, they sold at $1.50 per share.
After the dividend, they buy back 4 million shares at $0.40 - $1.00 each or average of $0.75 per share...they still get to keep 0.75 per share x 4 million shares or $3 million.
