According to the press release, GNBT is to acquire 51% of Altucell...so, 5 million for 20% of the 51%, means 100% of Altucell only worth 49 million...which I highly doubt... 
There must be other sources for the cash for GNBT to be able to pay 20% with cash...unless they are paying in installments?
In any case, the way I see this is it is a positive no matter what...also for bank to be willing to extend $5 million loan...that also says a lot since banks don't just loan money out when the financials don't look good.
