IMO, while we do not have adequate information about the Non Binding Agreement to judge how likely it will move to Definitive Status, it is highly probable that in addition to the monetary milestones/considerations, it has some standard contingencies and terms, such as a specified due diligence period , confidentiality, company performance (such as BLA submission and other metrics), and an agreement not to negotiate with another entity for a specified period of time. Whether or not the announced deal is completed, CYDY looks to be too good an opportunity for others to ignore for much longer.
