If you look at the two exhibits that accompany the 8K, you’ll see in After Closing:

“if Seller increases the EBITDA related to the Business from the One Hundred Thirty Thousand Dollars ($130,000.00) in EBITDA in 2018...”
Pantheon
“ if Seller increases the EBITDA related to the Business from Five Hundred Thousand Dollars ($500,000.00) in EBITDA in 2018”
So these two companies only had a combined EBITDA of $630,000 in 2018. I’m not understanding how with such a small EBITDA they can pay Mr Bird any royalty on sales. But, there’s a CC to learn more.
