" The ProstaGene transaction provided for 5.4 million shares to be placed into escrow ( with Computershare acting as escrow agent )
In the absence of indemnity claims , such escrowed shares are to be released ratably over 18 months ( one-third every six months ) The first one-third tranche has been released from escrow and re-distributed among the ProstaGene members.
As such , the escrow agent's holdings have been reduced from 5,4 million shares to 3,6 million shares.
The SEC release simply amends the resale registration statement
( effective on 2/14/19 ) to update the holdings among the ProstaGene members and Computershare, as escrow agent.
There is no sale transaction reported.
