"Up to..." means that the company does not have to issue those shares.
There is no way of telling what the conversion price would be. What if the price of the common stock at that time is $2? or $1? That's a lot fewer shares to be issued.
We have NO way of knowing at this time when the company will decide to issue a slug of stock, and what the price will be.
