It is absurd to say that a legal document stating that certain provisions must be met is not valid and said conditions will not be met.
These people are professionals in the field. They are perfectly capable of stopping any further issuance when/if the 9.9% point is reached. I am puzzled why this is seemingly so hard for you to understand.
