indeed. it's mandatory to have a certain number of shareholders to be on the nasdaq (can't remember the figures, but is is several hundreds).
that being said, once on the nasdaq, many additional brokers will allow their clients to purchase the stock. and, of course, most institutional investors do not buy on the OTC due to their own rules.
