One thing that hasn't been talked about is the warrants.
Each share of the PO comes with .5 warrant so 2 shares of the PO equals 1 warrant
The warrants are exercisable immediately and will expire five years from the issuance date and will be under a separate NASDAQ VERBW
There are also underwriter warrants entitling the Underwriter (or its designees) to purchase up to 5% of the aggregate number of shares stock issue in the offering (excluding any shares of Common Stock issued upon exercise of the Underwriter’s over-allotment option). The warrants will be exercisable for a four-year period, commencing one year following the effective date of this offering at an exercise price per share equal to 125% of the public offering price subject to a 180-day lock-up pursuant.
That's $15,625,000 on top of the $20-23M being raised.
I believe Rory said the company will take on some debt. Was it $8M which is a smart thing to do which I can explain if someone wants
If I did the math right, this all totals more than $46M minus fees
I think that should be a good amount to complete all the development for Facebook, Instagram, Oracle, Microsoft, Salesforce, CROs, New Customers, etc.
Throw in some marketing and a few accretive acquisitions in there too
