The SEC defines stocks less that $5 a penny stock. While you could get to the NASDAQ with a $2 closing price for 10 days, that is not the plan of the company and wouldn't attract the type of investors they are doing this for. SP will be $5 or above shortly.
The PO and SC shares will be price the same. PO will get $20-25M of them. SC will get $10M of them. Could be at a discount to market, market price or above. Word of the PO getting out there could bring a lot of other investors that want in and who can't get in to buy on the open market.
nFusz hired AGP to navigate this process who are experts at it. Also have a top flight BOA & BOD. The latter approved the use of a RS if need. It's not like they are hoping to recover an onside kick. I'm sure the strategy is well thought out. They all have skin in the game.
Also hired Valter Pinto to communicate with investors. Any investor is welcome to send him suggestions.
