$MCOA The Investment Agreement terminates thirty-six (36) months after the Effective Date, or when K&J has purchased an aggregate of ten million dollars ($10,000,000) in the Registrant’s Common Stock, or at such time that the Registration Statement agreed to in the Registration Rights Agreement is no longer in effect, or upon the election of the Registrant, providing written notice to K&J.
