I suppose it could happen that way but typically the S-1A would include the pricing of the offering so you would want the price to be higher before the S-1A comes out. Additionally, I would think, in NFUSZ's case, they would need to close the merger first to be able to secure the capital. I suppose they could file multiple S-1A to amend the terms and include updated pricing. Either way, we won't have to wait too long to find out.
