If SC believes that merged nFusz prospects are near limitless why would they settle for cash when they could receive stock instead.
This would demonstrate great confidence to the market, avoid the tax man and not saddle the new company with debt.
All this would allow FUSZ to raise money in the market (($25m) showing earnings and a clean balance sheet. New money would allow them to acquire other companies and provide a cushion while revenues ramp up.
Also a prospectus and road show showing off your wares and prospects could do wonders for stock interest especially in the high P/E CRM space.
(Did I mention patents)?
