that amount is (imo) the higher of the two tax calculations. a franchise tax is the lower of two calculations. delaware (like the IRS) will use a higher calc for motivational purposes. i've never heard of "negotiating" a franchise tax issue so i plan on following this (and have) as it pans out.
i'm expecting steve to pay the lesser amount and move on.
