Dan, excellent points! Only IPIX insiders could’ve created the 105b-1 Plan before the lock-up agreement. That’s why past tense like “provided that such 10b5-1 Plan existed or was entered into prior to the date hereof” was used. Even if someone argues the MFO is a major shareholder with insider information, they owned zero share so there’s no way such plan existed before the agreement. Therefore it’s only logical that the lock-up agreement is talking about IPIX insiders.
