You are correct, the RS is just an option. But at this pps, it is more of a reality.
For the sake of discussion, Wouldn't they have to do the RS before they release the S-1a to know the number of shares they need to sell to get the money needed for the merger with SC? I don't think that they could raise the money for the merger, at this pps, with the number of share available to sell from the current AS. So, if they plan to do the merger in Jan 2019, they would either have to get the pps up organically or the RS?
Any thoughts?
