Mr, Clayton the following was posted to the SSOF I-Hub board by me last Thursday.
I have to make a hard decision. When i invest in a company i invest in the man or woman at the top. I look for three things:
1) personal integrity which includes who he/she surrounds himself with.
2) are my interests and his/her interests perfectly aligned.
3) is he/she hungry for sustained success.
Sadly this S-1 deals a strong blow to all three.
Integrity would have been for Clayton to PR such a major material event to the shareholders back at the end of August when he signed the LOI. And as far as surrounding himself with winners, well, you guys know what i think of Bland. I was initially attracted to SSOF because of Dave Ho's involvement and the incredible contacts he provided, and it appeared he was a man of integrity. I sent him 3 emails and he answered all 3 of them. Now i am even questioning him. He got rid of Bland and proudly PR'd that Bland would have no further operational role at SSOF, but now he is selling Y&C to Bland? WTF Mr. Ho? It turns out Bland magically converts everything good that he touches into shit. Including the reputations of those who play ball with him.
The S-1 appears to show that my interests are not of any consequence to Mr. Clayton at all. A month ago i felt great about the 95 million restricted shares his team owned because it meant our interests surely matched. But the S-1 lays out a very poor conversion to 10sion stock from SSOF stock. And waiting 5 trading sessions to climb out from under his desk while the stock price dropped from .0068 to .0018 was unconscionable.
And third, will Clayton be hungry after he pockets $10.5 million for the A-1's and his cushy $140,000 per year 5-year employment contract kicks in?
I still haven't decided what i will do. I know some here are hoping Clayton tears up the LOI and tells Bland to kiss his ass. That in my opinion would be best for us all. But i would still have misgivings about Clayton's ability to lead after such a poor decision to jump into bed with Bland, which leads me to question his fitness as a CEO.
