I am under the impression that the offering, acquisition, uplist are disclosed at the same time, but not positive how it works. It would definitely make sense that the offering price would be the new price of the stock and/or the starting price on uplist to Nasdaq. Like an actual IPO, FUSZ is buying sound concepts and upon that acquisition a new company will be made named FUSZ.
