I'm no expert by any means, but I have been reading a little more about mergers, IPOs, and uplistings. Acquisition of Sound Concepts, and nFUSZ's NASDAQ uplisting might occur like this:
1) Sound Concepts may do a reverse merger with a shell company (a.k.a. reverse IPO) instead of an IPO for NASDAQ (with the ticker of FUSZ?). A reverse IPO is quicker and cheaper than a traditional IPO.
2) Once the reverse IPO is done (with a possible new cusip), nFUSZ will do an acquisition of Sound Concepts which is already on NASDAQ.
Not sure if this is possible (legally), but would be one way nFUSZ could possibly uplist, get a new cusip, and have an IPO.
