Could it be the Acquisition Subsidiary is considered it's own new company? Therefore, can be considered an IPO in the truest sense. I don't know, just throwing this out there.
Here is what was in the S1 that caught my eye.
"We anticipate forming an acquisition subsidiary into which Sound Concepts will merge in accordance with the provisions of a three-party merger agreement among Sound Concepts, our acquisition subsidiary, and us."
