an NDA is only a non-disclosure agreement. simply put-- the companies were shown some technology and signed an NDA agreeing to keep their mouth shut about what they've seen behind the curtain. protects both parties and in no way obligates a sale or contract.

an LOI is closer to inking a deal but is only one step past a handshake.
