(ii) VTXB will issue the following shares:
Common Stock: 117,000,000 shares of common stock to the common stock shareholders of
Blockchain
Preferred Stock: 9,996,000 shares of preferred stock to the Preferred Stock holders of Blockchain.
The terms of the preferred provide for voting rights equal to 1,000 vote per share, conversion rights of
100 shares of common stock for each preferred share, and shall lock up provision preventing
conversion for 2 years.
(iii) The number of shares outstanding shall not exceed 210,000,000 shares of Common Stock.
