Will private placements of stock or debt notes be offered to those who attend the SHM as an offer to 'give us the chance to recoup by getting in on such great deals' in NTEK or Ultraflix?

What percentage of Ultraflix does NTEK own? Is there any outstanding convertible debt or other debt notes specifically for Ultraflix?
