I already have a few times. you can check my posts if you want. but basically......
subsidiary = A new business venture either created or acquired and no shares will be issued
spinoff = A part of the original company that is split off and shares will be issued as to compensate the shareholders for their loss of that part of the business (decrease in value of the parent company from losing that portion of the business)
That's the biggest difference and the point I've been trying to get across.
