Yes, and if you actually read the documents that back up the 8K, it says those "certain circumstances" are any investment into either Amarantus or Avant.
They gave them the option of raising enough money into two out three entities.
1. AMBS
2. AVDX
3. ESS sub
But they said:
"The valuation at which new money, in excess of $1 million, comes into the public entities will be accompanied by a fairness opinion."
AMBS and AVDX are the public entities. ESS sub is not.
