The difference is that PTOI isn't Mr. Heddle's company--he just has complete control over the money and the company. Money he loaned to PTOI to pay himself leaves the company and shareholders on the hook to pay him the money back which he already paid himself. It's not as nonsensical as you think. The misconception is in thinking Mr. Heddle's 'investment' means he believes in the company's prospects.
