Does anyone know if the public is able to read Avant's documents on Nevada's Secretary of State's website?
I couldn't access any of the docs. Based on Avant' s Q1 2016 filing, there were 3000 authorized Series B preferred shares. However, none of them were issued or outstanding.
But according to the Nevada sec of state website, there was a filing on January 27, 2017 that designated some portion or all of these Series B shares. Depending on who those were issued to, it might indicate a pending reverse merger that involves Avant, Theranostics Health and a privately held company.
In reverse mergers, preferred shares are sometimes used to close a transaction quickly if a party like Avant doesn't have enough existing authorized common shares to give to the private company involved in the transaction.
