1) As stated 15SOF is splitting off and a new party is coming into GRDO
2)One benefit to the new party is a significant reduction in future tax liability
3) Clearly the recent management of 15SOF is out and a new Preferred share Class has been created for the new owners
4) As of the new filings the convertible share ratio was reduced dramatically--this is a huge benefit for shareholders and a REDUCTION in potential dilution
