SPCL is not taking on all of migme's debts or headaches...SPCL is acquiring a subsidiary of migme... Project Goth, Inc. SPCL gets all the assets, Migme Australia keeps their debts and becomes a shell and does a new merger with somebody else who gets to deal with all of migme's old debts. Thats what I think is happening. Great deal for SPCL longs.
