the only difference between an APA & an SPA is with the APA the buyer gets to pick and choose what liabilities it wants to take on; plus, with an APA they have better tax benefits...basically they mean the same thing meaning they are signs of M&A. It's all depicting on the situation for which one is better. the APA or SPA
