There is no debt coming from Pixel Holdings into SPCL per 8K.
Ownership of Company Exchange Shares; No Liens. Holdings is the record and beneficial owner of 100% of the issued and outstanding Company Exchange Shares. No other shares of Company capital stock or other securities are issued and outstanding as of the date hereof. Any proposed changes in the ownership of Company Exchange Shares by Holdings between the date of this Agreement and the Closing Date will be disclosed to and approved in advance by Purchaser. At Closing, Holdings shall deliver to Solaris, good and marketable title to all of the Company Exchange Shares, free and clear of all Liens.
