So...it appears that the Agreements with TMo and MetroPCS were between those companies and iTALK only.
UMS is opening locations under those agreements and is the Master Dealer for those locations.
TMo holds a secured interest in the property at the locations as well as the income earned on the sale.
If UMS LLC changes ownership...it doesn't affect the fact that the agreements under which the stores are being opened are with iTALK...not UMS.
UMS changing companies doesn't affect the fact that they don't own any of their inventory. Tmobile owns the inventory.
In this case UMS LLC may only be worth 100k.
