It is to be supplied with each Proxy to notify all share holders of record. It is a protection for all of us when company operations that are material, change. Example cash flows, "Contracts"
It is especially notable after 10K's , 10Q's ( I always read them) have been filed that do not include changes to business operations that are material to share holders.
