NEVADA.......3 REASONS I LIKE IT
1. The Nevada Bylaws do not contain advance notice requirements for business to be brought before an annual or special meeting of stockholders.
2. Under the NRS, an acquiring person who acquires a controlling interest in an issuing corporation is prohibited from exercising voting rights on any control shares unless such voting rights are conferred by a majority vote of the disinterested stockholders of the issuing corporation at a special or annual meeting of stockholders.
3. Under the Nevada Articles, Quantum is not authorized to issue shares of preferred stock.
