RECISSION OF PREVIOUSLY ISSUED SHARES

On November 5, 2012 ; we issued Eighty million (80,000,000) shares of our common stock in a private placement with an accredited investor. The Corporation and the investor mutually agreed to rescind the transaction and the certificate representing the sale has been returned to the transfer agent and cancelled.

In a previously issued report we disclosed the rescission of a separate sale of shares similar to the transaction described above. The Corporation has since sent the shares and the medallion guaranteed to our transfer agent and the shares will be properly cancelled.
