It is a means where even minority shareholders can compel a corporation to file suit against its own insiders or management. It can be undertaken by lone shareholder or a group. In this case the suit would likely be bought against Veal himself, by the corporation, for failure to protect the corporation from foreseeable events or actions. Many times when a controlling shareholder fails in their fiduciary responsibility to the other shareholders, a revolt can result in this type action. Think about it.
