It makes a lot of sense for $BCAP to acquire $TGGI which has no regulatory issues and is DTC eligible. That's a simple way to raise capital. Also has the advantage for $BCAP shareholders of not diluting shareholders ownership.

I just looked at $TGGI's share structure:

$TGGI currently has 8B outstanding, and $BCAP owns 600M of those.

The PR said $BCAP will own 12B in total, so probably looking at at $TGGI on a fully diluted basis of 19B shares, or $1.9M market cap at $0.0001 -- and a $1.2M asset for $BCAP

The Tier I Reg A allows up to $20M to be raised in any one-year period, so that gives a notional $0.0010 / share valuation to $TGGI if that's in fact the amount raised (I couldn't tell from the PR how much is planned to be raised).

Focusing down to $BCAP's $TGGI holding:
12B shares x $0.0010 notional = $12M potential valuation for those shares.

I've never seen a Reg A done by any OTC company, but $BCAP just became a lot more interesting to watch.
