Then, to make it binding, consideration (anything tangible) is required. Just the offer and acceptance parts can be negotiated back and forth many times. But, I have to believe that George would have given Jack Perkowski, the latest board member, power of attorney to eliminate the distance between participants problem. Then comes financing.
