Missing the point. Novamex has to be paid in full. The debt owed to Novamex is too big hence a reverse transaction has to occur, so conversion from debt to equity in this case. The reason as stated earlier is simple. On a APA MSJ does not have to assume debt associated with any of SRGE's properties. Simple? Yes, it is.
