Do they have to say? Technically no but should in fairness to shareholders
Vote? Nope, but at times it is voted on
Audits and fins? Doesn't have to coincide with either
Amount? There is no min and max rather what they think is beneficial in their eyes
CEO? They can with or without but my feeling is the new CEO is already aware of this and may have had influence (again just opinion)
Only rules are the rules they have to follow when submitting the paperwork to get the process completed.
