The acquisition LOI between NSEH AND MKT is not a run-of-the-mill agreement:

6. Binding Letter of Intent

This letter is intended as a binding agreement in completing the Transaction described herein. Any commitment to complete this Transaction is subject to the execution and delivery of definitive purchase agreements and Cocuments satisfactory to MK and containing the erms and conditions described in this letter and such other terms as MK and the company may agree.
