Shareholders do not have to approve. Proxy was supposed to be more of a survey on the thoughts of investors in regard to certain actions by the company.
The delay of the proxy and announcement of R/S ratio might actually be a good thing. Hisense really like Ultraflix from what I have picked up on from recent articles and feedback from CES. They are also buying or bought Sharp and Roku TV, so I anticipate Ultraflix on those platforms as well. Who knows, Hisense may even want part of the Ultrflix action as it will give them a platform to enter not only the US PPV market but the Chinese as well?
