A 15-12g doesn't mean they are terminating any of their stock. It just means they are deregistering it with the SEC. Basically they no longer are required to submit SEC filings. For small and startup companies being fully reporting is expensive and time consuming. They may still submit filings on the otc. Many OTC stocks are not SEC filers.

With all that said. The TALK bashers like to try to scare people that the sec will take action if talk can't get the filings in. Worse case scenario is they file the 15g. Not ideal but it's a worst case option.
