to answer some of these questions, i did email jerry. the response i got (which are usually short, quick, and to the point) was that this guy (seller) is now classified as a beneficial shareholder. thats all that was offered on this matter.

perhaps this was roy meadows, and to repay him for his initial loan, his status was changed from restricted to beneficial shareholder, thus evading rule 144, which allowed him to legally sell his shares. but this brings up a whole new set of questions then.......
