Atmel ($ATML) said it has received an unsolicited proposal to acquire all of the outstanding shares of Atmel common stock for $9 in cash per share. The agreement also provides an option to receive shares of the acquirer in an amount of up to $1 billion in aggregate value in lieu of cash. The company had earlier entered into an agreement to be bought by Dialog Semiconductor.
