Not really though. They are a pink sheet company with an already established 51% voting right from management. They actually don't have to issue any proxy because of these two reasons. However I am guessing they don't want to spring any sort of news on the shareholders without the appearance of giving shareholders the 'option' to vote on it. Good for PR and appearances, but in the end totally meaningless. Management will do what Management wants to do.
