But NTEK could not afford to buy ROKU out, so why not a merger?

If UltraFlix[Nuvola] is indeed inside the ROKU-4 and can play UHD on any Smart television then why would they not pay some sort of Royalty to NTEK or at least have NTEK manufacture the Boxes for them.
I think this is a sensible question, huh?
