NOTICE TO ALL SHAREHODERS ...NanoTech has notified NanoTech Gaming of its intent to distribute all or part of its holdings in NanoTech Gaming to its shareholders
As of April 23, 2015 and the date of this filing, NanoTech holds 150,000,000 shares of Common Stock of NanoTech Gaming which constitutes 82.57% of its issued and outstanding common stock as of the date of this filing thus making NanoTech Gaming a control subsidiary of NanoTech.
NanoTech has notified NanoTech Gaming of its intent to distribute all or part of its holdings in NanoTech Gaming to its shareholders (“NTGL Distribution”). NanoTech Gaming is currently preparing FYE December 31, 2014 and 2013 audited financial statements and notes thereto and the most recent quarter ended reviewed financial statements for inclusion in the filing of a Form S-1 Registration Statement (“Form S-1”) which will include as allowed the NTGL Distribution with the intent to have the Securities and Exchange Commission clear the Form S1 without further comment which would then allow NanoTech to conduct the spinoff of NTGL shares to its shareholders.
