Finra might not admit knowing about the merger as would be expected. If you call they will likely tell you they haven't announced anything related to the ticker so they cannot comment if they received an application or not. Thats what happened with the dividend when I called them prior to their announcement. They cannot tell you because it allows an opportunity to potentially gain from the transaction.
Regarding the merger, in order to delist, yes it has to go through FINRA. I don't think there is a way to go around this as all companies would just take funds they received from selling stock and disappear. Thats why a backdoor merger seems impossible to me. All shares should have to be included in a merger, and with a cash offer it would be simple as any shorts would simply pay merger price. When there is a share for share exchange, I have no idea if there are any other solutions than to making shorts cover, but just like you I am premising that all shares have to be included, this is 101.

Therefore, OS as of the last PR was 242m. Consequently, I don't believe there is reason to believe I am a majority holder, despite recent purchases, without making a large degree of assumptions.
